Terms of Business
These terms apply to Social Media Strategy services provided by Stay Studios Ltd. They will automatically form the basis of a binding contract between us when you instruct us to proceed with a proposed project or when we provide a service to you ‘The Client’.
Definitions and Application of Terms
“The Provider” – Means Stay Studios Ltd or any individual working for or with Stay Studios Ltd.
“The Client” – Means the party commissioning the Social Strategy work.
APPLICATION OF TERMS
The Booking of an appointment for our Social Media Strategy package and all other services, by ‘The Client’ and the acceptance of the said booking by ‘The provider’ confirms all parties have read & agree to the terms set out below. These terms and conditions will:
- Apply to all Assignments undertaken by the Provider for the Client and to all Usage Licences or extended and/or additional Usage Licences relating to such Assignments,
- Prevail over any inconsistent terms or conditions contained, or referred to, in ‘The Client’s’ purchase order, confirmation of order, acceptance of Estimate, or specification or other document supplied by ‘The Client’.
Services Provided
1.1. The Social Media Strategy package includes the following:
- A 60-minute initial briefing call to understand the Client's needs and objectives.
- Competitor analysis and social media research relevant to the chosen topic/industry.
- Recommendations on the overall social media strategy and direction based on the briefing and research.
- A bank of content ideas to help the Client get started.
- Initial mock-ups or mood boards illustrating how the Client's social profiles could appear using the suggested strategies.
1.2. The Social Media Strategy package does not include:
- Content creation (e.g., images, videos, or written posts).
- Setting up social media profiles.
- Ongoing management, posting, or engagement on social media accounts.
Payment Terms and Refund Policy
2.1. The payment terms and refund policy are as follows:
- Cancellation before the initial briefing call: The Client is entitled to a full refund.
- Cancellation after the initial briefing call but before the delivery of the strategy document: The Provider will retain 30% of the payment as a service fee, and the remaining 70% will be refunded.
- Cancellation after the delivery of the final strategy document and final call: No refunds will be provided, as the Client will have received the full benefit of the Provider's expertise and intellectual property.
2.2. All payments must be made in the agreed-upon amount and by the due date specified in the invoice or payment schedule. Failure to pay on time may result in delays in the delivery of Services.
Intellectual Property
3.1. The Provider retains ownership of all intellectual property rights to the content and materials created as part of the Social Media Strategy package. 3.2. Upon full payment, the Client is granted a non-exclusive, non-transferable license to use the materials for the Client's own business purposes. The Client is not permitted to resell, distribute, or share the materials with third parties without prior written consent from the Provider.
Client Responsibilities
4.1. The Client is responsible for providing accurate and timely information necessary for the Provider to deliver the Services effectively. 4.2. Any delays in the provision of required information may result in a delay in the delivery of the Social Media Strategy.
Limitation of Liability
5.1. The Provider will use reasonable care and skill in providing the Services. However, the Provider makes no guarantees as to the effectiveness of the social media strategy, as results may vary based on the Client's implementation. 5.2. The Provider's liability to the Client shall not exceed the amount paid for the Services.
Confidentiality
6.1. Both parties agree to keep all information discussed during the provision of Services confidential, unless otherwise required by law or with the express written consent of the other party. 6.2. The Client agrees not to disclose any trade secrets, proprietary information, or other intellectual property provided by the Provider to any third party.
Rescheduling
7.1. The Client may reschedule the initial briefing call with at least 24 hours’ notice. If less notice is provided, the Provider reserves the right to charge an additional fee for rescheduling. 7.2. If the Client wishes to cancel the package, the refund policy outlined in Section 2 will apply.
Amendments to the agreement
8.1. The Provider reserves the right to amend these Terms and Conditions at any time. Any changes will be communicated to the Client in writing and will apply to future Services.
